PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING, BROWSING, OR UTILIZING THE CRE DEALMAKERS NETWORK PLATFORM, SERVICES, OR AFFILIATED WEBSITES, YOU AGREE TO BE BOUND BY ALL TERMS, CONDITIONS, POLICIES, AND NOTICES STATED HEREIN. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY DISCONTINUE ALL ACCESS AND USE OF OUR SERVICES.
1. Acceptance of Terms and Scope of Service
These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ("You", "User", or "Member"), and CRE Dealmakers Network ("Company", "We", "Us", or "Our"). This agreement governs your direct and indirect access to the proprietary commercial real estate deal-sourcing engine, investment syndicate directories, market analytics, networking portals, and affiliated web properties.
2. Professional Qualification and Member Conduct
CRE Dealmakers Network is an exclusive institutional and private capital forum intended for licensed commercial real estate brokers, certified appraisers, accredited investors, institutional lenders, and principal sponsors. By utilizing our infrastructure, you expressly represent and warrant that:
- You are of legal contracting age (at least 18 years old) and possess the requisite authority to bind yourself or the corporate entity you represent.
- All account registration data, broker credentials, licensing disclosures, and financial suitability assertions submitted are accurate, truthful, and maintained in current standing.
- You will not deploy automated scripts, web-crawlers, scraping bots, or data extraction utilities against our proprietary deal listings or investor directories.
- You will maintain strict confidentiality over all off-market deal packets, financial operating statements, and member contact dossiers obtained through private deal rooms.
- You will comply with all applicable state, federal, and international securities, anti-money laundering (AML), and commercial brokerage regulations.
3. Commercial Real Estate Deal Disclosures & No Brokerage Advice
CRE Dealmakers Network provides an informational matching technology and commercial networking medium. We are not a registered broker-dealer, financial advisory firm, real estate appraisal firm, or legal counsel. None of the property profiles, pro forma financial models, cap rate analyses, or debt terms published on the network constitute formal investment advice, loan underwriting commitments, or public securities offerings. Every member must independently conduct rigorous due diligence, asset physical inspections, title review, and legal audit before executing binding purchase agreements or deploying investment capital.
4. Privacy and Data Governance
Your privacy, transaction data security, and communication confidentiality are of paramount concern to us. Please carefully review our complete Privacy Policy at www.credealmakersnetwork.com/privacy-policy, which describes how we aggregate, process, secure, and disclose member information and platform usage metrics. By agreeing to these Terms, you also acknowledge and accept the data practices outlined at www.credealmakersnetwork.com/privacy-policy.
5. Proprietary Rights and Platform Integrity
All trademarks, service marks, algorithmic ranking systems, software architecture, UI layouts, graphic designs, editorial analyses, and database compilations associated with CRE Dealmakers Network are the exclusive intellectual property of the Company or its licensors. You are granted a limited, revocable, non-transferable, and non-exclusive license solely to view, evaluate, and engage with network opportunities for direct commercial dealings. You shall not reverse-engineer, decompile, syndicate, sublicense, or create derivative works from our proprietary data or platform architecture without prior express written authorization.
6. Disclaimer of Warranties
THE PLATFORM, ALL SUBSIDIARY SERVICES, DEAL LISTINGS, DIRECTORIES, ANALYTICS, AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CRE DEALMAKERS NETWORK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF UNDERWRITING ESTIMATES, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE REMEDIED, OR THAT TRANSACTIONS INITIATED ON THE NETWORK WILL REACH SUCCESSFUL ESCROW CLOSING.
7. Limitation of Liability
IN NO EVENT SHALL CRE DEALMAKERS NETWORK, ITS MANAGING MEMBERS, DIRECTORS, AFFILIATES, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, COMMERCIAL OPPORTUNITY LOSS, BROKERAGE COMMISSIONS, EARNEST MONEY FORFEITURE, OR DATA LOSS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CRE DEALMAKERS NETWORK IN THE TWELVE (12) MONTHS PRECEDING THE OCCURRENCE OF THE EVENT GIVING RISE TO LIABILITY.
8. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS CRE DEALMAKERS NETWORK AND ITS SUBSIDIARIES, OFFICERS, AGENTS, AND EMPLOYEES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES, OR FEES (INCLUDING REASONABLE LEGAL AND ACCOUNTING FEES) RESULTING FROM OR ALLEGED TO RESULT FROM: (A) YOUR VIOLATION OF THESE TERMS OF SERVICE; (B) ANY MATERIAL OR DATA YOU SUBMIT TO THE NETWORK; OR (C) ANY COMMERCIAL TRANSACTION OR PARTNERSHIP ENTERED INTO WITH THIRD PARTIES MET THROUGH THE PLATFORM.
9. Dispute Resolution and Governing Law
These Terms and your use of the platform shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any legal controversy, dispute, or claim arising out of or relating to these Terms shall be resolved exclusively through confidential binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. You agree that any dispute resolution proceedings will be conducted solely on an individual basis and not in a class, consolidated, or representative action.
10. Text Messaging (SMS) Program Terms
Program. CRE Dealmakers Network LLC operates a text messaging program for people who opt in through the contact form or membership signup form on our Website. The program has two separate, optional message types:
- Non-marketing messages: live session reminders (Monday Coaching, Thursday Q&A, and Power Hour), schedule changes, free-trial and membership notices, and replies to your inquiries.
- Marketing messages: free-trial offers, member discounts, new course and module announcements, and event invitations.
Consent. You opt in by checking the consent box for each message type you want and submitting the form. You may choose either, both, or neither. Consent to receive text messages is never required to submit the contact form or to purchase a membership. By opting in, you agree to receive recurring text messages from CRE Dealmakers Network LLC at the mobile number you provided.
Message frequency. Message frequency varies based on your inquiries and the live session schedule.
Costs. Message and data rates may apply. Contact your wireless carrier for details about your plan.
Opting out. You can cancel at any time by replying STOP to any text message from us. You will receive one final message confirming that you have been unsubscribed, and you will receive no further text messages unless you opt in again.
Help. Reply HELP to any text message for assistance, or contact us at admin@credealmakersnetwork.com or 208-449-3545.
Carriers. Carriers are not liable for delayed or undelivered messages.
Eligibility. You must be the account holder of the mobile number you provide or have the account holder's permission to enroll it. Please notify us if you change or stop using that number.
Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging opt-in data and consent will not be shared with any third parties. Our Privacy Policy explains how we collect and use your information, including mobile numbers.
Changes to the program. We may change or end the text messaging program at any time. We will notify subscribers of material changes as required by law.
